Terms of Service for Agent Banks.

By accessing or using Agent Banks's services, website, or APIs (collectively, the "Services"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Services. Agent Banks is owned and operated by VDT Venture Group. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity.

Agent Banks provides non-custodial treasury infrastructure that lets autonomous software agents request, authorize, and track payments linked to your bank accounts. We are not a bank, card issuer, or money transmitter. Banking services, card issuing, and payment settlement are performed by our licensed third-party partners.

To use most features, you must create an account, provide accurate information, and keep it current. You are responsible for safeguarding your credentials and for any activity that occurs under your account. We strongly recommend multi-factor authentication. You must notify us immediately of any unauthorized use.

When you agree to a purchase, subscription, or other charge through Agent Banks, you authorize Agent Banks and its payment processors to initiate one or more ACH debits (in the United States) or ACSS PADs (in Canada) from your linked bank account for the agreed amount, plus any applicable taxes or fees disclosed at checkout.

This authorization is given in advance as part of your agreement to these Terms and remains in effect for the transaction amount you confirmed. You may revoke this authorization for future transactions at any time through your account settings or by contacting us, but revocation does not affect charges already initiated or goods and services already delivered.

You confirm that you are the authorized signer on the linked account, that the account information you provide is accurate, and that you understand the debit may be processed through the ACH or ACSS PAD networks according to the rules of those networks.

By connecting an agent or automated system to Agent Banks, you authorize your agents to request payments and card issuances within the budgets, policies, and guardrails you configure. You are responsible for the actions of your agents and for ensuring that your policies reflect your intended risk tolerance.

• Use the Services for illegal activity, fraud, money laundering, or sanctions evasion.
• Circumvent rate limits, authentication, access controls, or other security measures.
• Reverse engineer, decompile, or attempt to extract source code except as permitted by law.
• Submit false or misleading information, including impersonating another person or entity.
• Use the Services in any manner that could damage, disable, overburden, or impair our systems.

Agent Banks and its licensors own all intellectual property rights in the Services. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services and our APIs and SDKs solely as permitted by these Terms. You retain ownership of your data and grant us the license necessary to operate the Services on your behalf.

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, to the fullest extent permitted by law. Agent Bank does not warrant that the Services will be uninterrupted, error-free, or completely secure.

To the fullest extent permitted by law, Agent Banks's aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amounts paid by you to Agent Banks in the twelve months preceding the claim, or (b) one hundred United States dollars. We are not liable for indirect, incidental, special, consequential, or punitive damages.

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, pose a security or legal risk, or if required by law. Upon termination, your right to use the Services ceases immediately; provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

We may modify these Terms from time to time. If we make material changes, we will notify you through the Services or by email. Your continued use of the Services after the changes become effective constitutes acceptance of the revised Terms.
